Epoch Estate Wines Terms of Use

Welcome to www.epochwines.com (the “Site”). These Terms of Use (as they may be amended, changed, or otherwise modified from time to time, these “Terms”) govern your access to and use of the Services (as such term is defined in Section 2, below). Upon entering the Site and/or affirming that you are an Age-Eligible Site User (as such term is defined in Section 2, below), you agreed to be bound by these Terms. Please read these Terms carefully before using the Services. If you disagree with part or all of these Terms at any time, your sole remedy is to exit the Site and discontinue your use of the Services.

 

1.      Eligibility & Age Restriction

All those who access or use the Site must be 21 years of age or older (each, an “Age-Eligible Site User”). If you are not an Age-Eligible Site User, please exit the Site immediately.

 

2.    Description of the Services

The Site includes (a) information about Epoch Estate Wines (“Epoch”), its products, events, and related offerings such as wine sales, reservations, tastings, event ticketing, and communications (collectively, “Epoch Products and Experiences”) and (b) services, features, and functionalities (collectively, the “Site Offerings”) that enable Age-Eligible Site Users to purchase, reserve, or otherwise engage with Epoch Products and Experiences.  The Site, together with the information and Site Offerings described in subsections (a) and (b) of this Section 2, shall be referred to collectively herein as the “Services.” Any references herein to the “Services” shall also include any and all new Site Offerings added to the Site after the Effective Date of these Terms; as such, any future Site Offerings shall be subject to these Terms as though they existed as of the Effective Date of these Terms.

 

3.    Account Registration & Security

You may be required to create an account or profile (your “Account”) on the Site in order to access and use certain Services. When creating your Account, you agree to (a) provide accurate, current, and complete information; (b) maintain the confidentiality of your username and password(s); (c) be legally and financially responsible for all actions under your Account; and (d) notify us immediately if you suspect unauthorized access to, or use of, your Account. Epoch may suspend or terminate your Account if Epoch suspects that the information you provided is false, or that you (and/or anyone using your Account with or without your knowledge) are not an Age-Eligible Site User. Any information you share with Epoch in connection with your Account or that is otherwise obtained by Epoch in connection with your use of the Services will be subject to Epoch’s Privacy Policy (the “Privacy Policy”), which, as it may be amended, updated or modified from time to time, is hereby incorporated verbatim into, and made a part of, these Terms. 4.     Site Transactions

When you place an order or make a reservation for any Epoch Products and Experiences through the Site (each, a “Site Transaction”), you agree that you (a) are an Age-Eligible Site User; (b) will provide valid payment information; (c) will comply with all Epoch and third-party service provider policies applicable to such Site Transaction; and (d) will comply with all applicable laws, including but not limited to laws related to (i) the service and consumption of alcoholic beverages and (ii) the transport of alcoholic beverages as it relates to the legal drinking age of any individual accepting delivery or effecting pick-up. You may not use anyone else’s username or password to complete a Site Transaction, nor permit others to use your Account. Epoch may refuse or cancel any Site Transaction in its sole and absolute discretion, for any or no reason.

 

5.    Third‑Party Services & Links

The Site may include links to third-party websites, services, or content. Epoch does not control these third parties and shall not be held liable for their actions, content, or policies. Certain Site Offerings may integrate third-party services (e.g., social media, reservation platforms, ticketing, shipping, communication tools). Please see the Privacy Policy or more information regarding these third parties’ collection, processing, and use of data gathered through the Site.

 

6.    Proprietary Rights

The Site contains trademarks, logos, photos, videos, images, information, and other content and intellectual property that is proprietary to Epoch and protected by copyright, trademark, and other intellectual property laws (collectively, “Epoch IP”). You do not acquire any ownership rights in Epoch IP by accessing or using any of the Services. You may not copy, reproduce, distribute, create derivative works from, or otherwise use the Services or any Epoch IP without first obtaining written authorization from Epoch. Epoch IP shall not, under any circumstances, be used in a manner that is likely to cause confusion among customers or to disparage Epoch.

 

7.    Prohibited Conduct

You agree not to violate any applicable laws or regulations; harass, threaten, or abuse others; post or transmit defamatory, obscene, or illegal content; use bots or scraping tools to interfere with the Site; attempt to access restricted areas; or use any of the Services for unauthorized commercial purposes. If Epoch reasonably suspects that you have violated this Section 7 or any other provision of these Terms, Epoch reserves the right to suspend or terminate (a) your access to the Services and (b) any Epoch account associated with you.  Furthermore, depending upon the nature and circumstances of the violation, you may be held personally liable and/or subject to criminal prosecution in connection with such violation.

 

8.    Disclaimers, Limitation of Liability

YOU AGREE THAT YOU ARE USING THE SERVICES AT YOUR SOLE RISK. The Services are provided on an “as-is” and “as available” basis, without express or implied warranties of any kind. Epoch strives for accuracy and currency, but cannot guarantee that all content (text, images, prices, availability) on the Site will be complete, accurate, or current at all times. to the maximum extent permitted by law, Epoch disclaims all warranties, including BUT NOT LIMITED TO WARRANTIES OF merchantability, fitness for a particular purpose, accuracy, and non-infringement. While Epoch takes all reasonable measures to ensure that you have the best possible experience when using the Site, Epoch does not warrant that the Services will be uninterrupted, secure, or error-free.

 

Neither Epoch nor any of its affiliates, officers, directors, shareholders, employees, and agents (collectively, “Epoch Group”) will be liable for any direct, indirect, incidental, punitive, or consequential damages arising from your use of the Services, even if one or more members of Epoch Group knew or should have known of the possibility of such damages.

 

IF ANY PORTION OF THIS SECTION 8 IS DEEMED BY A COURT OF COMPETENT JURISDICTION TO BE UNENFORCEABLE OR INAPPLICABLE, YOU AGREE THAT EPOCH’S AGGREGATE LIABILITY SHALL NOT EXCEED $500. 

 

Some states do not allow the exclusion or limitation of certain warranties or liabilities.  If the laws of such a state apply to you, some of the above limitations or exclusions may not be enforceable if and to the extent that such limitations or exclusions directly conflict with the applicable laws of your state.

 

9.    Indemnification

You agree to indemnify, defend, and hold harmless all members of Epoch Group from any claims, liabilities, losses, damages, and expenses (including attorneys’ fees) arising from your use of the Services, your violation of these Terms, OR YOUR VIOLATION OF THE RIGHTS OF ANOTHER.

 

10.  Governing Law

Except as set forth in Section 11, these Terms and your use of the Services are governed by the laws of the State of California, without regard for conflict of laws principles.

 

11.   Dispute Resolution

You and Epoch agree that, in the event of any claim or controversy arising out of or in any way relating to these Terms, the Site, and/or the Services (each, a “Dispute”), we will first attempt in good faith to resolve such Dispute informally. In the event that a Dispute cannot be resolved informally, YOU AND EPOCH WAIVE THE RIGHT TO A TRIAL BY JURY IN CONNECTION WITH ANY ARBITRABLE DISPUTE. In such event, confidential binding arbitration in San Luis Obispo County, California, shall be the sole and exclusive forum and remedy for such Dispute. Such arbitration shall be conducted by a single arbitrator mutually selected and agreed upon by you and Epoch (together, the “Parties”), or if we cannot so agree, a neutral arbitrator shall be selected by JAMS. Arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. All costs and fees of arbitration, including but not limited to the fees of the arbitrator, administrative fees, and the cost of any record or transcripts of the arbitration shall be advanced by the Parties in equal portions. Each Party shall be responsible for the fees of his, her, or its own attorneys and all other expenses connected with presenting such Party’s case, including but not limited to witness and travel expenses; however, if the arbitrator determines that a Dispute is frivolous, the arbitrator shall have discretion to award all shared and separate fees and costs associated with the arbitration of such Dispute to the Party against whom such frivolous Dispute was brought. Judgment on the award rendered by the arbitrator shall be set forth in writing, with a summary explanation of the basis for the arbitrator’s ruling, and such judgment may be entered in any court of competent jurisdiction. This Section 11 shall not preclude either Party from seeking provisional remedies in aid of arbitration from a court of competent jurisdiction.

 

You agree that any Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARBITRATION SHALL PROCEED SOLELY ON AN INDIVIDUAL BASIS WITHOUT THE RIGHT FOR ANY DISPUTES TO BE ARBITRATED ON A CLASS ACTION BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A CONSOLIDATED OR PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF OTHERS. BY ACCESSING THE SITE OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY AND KNOWINGLY WAIVING ANY RIGHT TO PARTICIPATE AS A REPRESENTATIVE OR MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY DISPUTE, SUCH THAT YOU SHALL NOT BE ENTITLED TO ARBITRATE ANY DISPUTE AS A REPRESENTATIVE, A CLASS ACTION, OR IN A PRIVATE ATTORNEY GENERAL CAPACITY.

 

You and Epoch acknowledge and agree that these Terms pertain to interstate commerce.  Notwithstanding the provisions of Section 10 of these Terms with respect to applicable substantive law, the interpretation and enforcement of this Section 11, including the class action waiver set forth herein and any arbitration conducted hereunder, shall be governed by the Federal Arbitration Act (9 U.S.C., Secs. 1-16).

 

Epoch’s failure to enforce any provision of these Terms shall not be deemed a waiver of Epoch’s of any of Epoch’s rights with respect to such provision, including but not limited to rights of enforcement and remedy.

 

12.  Changes to Terms

Epoch may modify these Terms at any time and from time to time in its sole and absolute discretion, without notice or liability to any user of the Services. Updates to these Terms will be indicated by a change to the “Effective Date” set forth at the beginning of these Terms. It is your responsibility to review these Terms for any changes or updates that may adversely affect your use of, or access to, the Services. Your continued use of the Services after any updates or changes to these Terms implies your acceptance of such updates or changes.

 

13.  Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to render such provision valid and enforceable, and the remainder of such provision, as well as all other provisions of these Terms, shall remain in full force and effect.

 

14.  Entire Agreement

These Terms, together with Epoch’s Privacy Policy and any additional policies or terms posted on the Site in relation to specific Services, constitute the entire understanding between you and Epoch and supersede all prior agreements, statements, and representations.
